The legal agreement governing your use of the High Yield Vault website and services. Please read these Terms carefully — they include a binding arbitration provision and class action waiver.
What you should know
High Yield Vault, LLC ("HYV") is a life settlement consulting and brokerage firm. These Terms govern your use of our website and services. By using our services, you accept these Terms.
Important notices: (1) We do not purchase life insurance policies — qualified investors in our network do. (2) These Terms include a binding arbitration clause and a class action waiver. (3) You may opt out of arbitration within 30 days of first accepting these Terms. (4) Our liability is limited as described in Section 12.

Acceptance of Terms
These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between you ("you," "your," or "User") and High Yield Vault, LLC, a California limited liability company located in Irvine, California ("High Yield Vault," "HYV," "we," "us," or "our").
These Terms govern your access to and use of:
- The website located at highyieldvault.com (the "Website")
- Any related subdomains, mobile applications, and web-based services we provide (the "Services")
- All content, features, and functionality offered through the Website and Services
How you accept these Terms
You accept these Terms by doing any of the following:
- Accessing, browsing, or using the Website
- Submitting a form, request, or inquiry to HYV
- Engaging our Services as a policy seller, investor, or advisor partner
- Clicking an "I agree," "I accept," or equivalent button where presented
- Continuing to use the Website after we post a modification to these Terms
If you do not agree to these Terms, do not access or use the Website or Services. If you are accessing the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Eligibility
You may use our Services only if you meet all of the following criteria:
General eligibility
- You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher)
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using our Services under applicable laws
- You have not been previously suspended or removed from our Services
Additional eligibility for specific Services
For policy sellers
- You are the legal owner of the life insurance policy you wish to discuss
- You reside in the United States
- The policy was issued by a U.S. insurance carrier
- You have the authority to authorize policy evaluation and, if applicable, sale
For investors
- You are a U.S. resident (or otherwise permitted to acquire life settlements in your jurisdiction)
- You are an experienced investor with the financial capacity and investment horizon appropriate for illiquid, long-duration assets
- You are able to conduct independent due diligence on investment opportunities
For advisor partners
- You hold active professional credentials appropriate to your role (e.g., Series licenses, CPA, Bar admission, insurance license) where applicable
- Your participation in our referral program does not violate any applicable regulatory obligations, licensing requirements, or your existing agreements
- You have executed our Channel Partner Agreement, which governs the specific terms of the referral relationship
Geographic restrictions
Our Services are offered solely to residents and entities located in the United States. If you access the Website from outside the United States, you do so at your own risk, and you are responsible for compliance with your local laws. The Services are not directed to children under 18 years of age.
Description of Services
High Yield Vault provides consulting and brokerage services related to life settlements. Our Services include:
For policy sellers
- Free evaluation of your life insurance policy for potential sale through a life settlement
- Education about your options, including sale, surrender, lapse, or retention
- Connection with qualified investors in our network who may be interested in acquiring your policy
- Support throughout the transaction process, including documentation coordination and closing logistics
For investors
- Access to vetted life settlement investment opportunities
- Due diligence documentation for each opportunity presented
- Consultation on investment suitability, structure, and risks
- Transaction coordination with policy sellers, carriers, and servicing providers
For advisor partners
- Channel Partner Program enabling professional advisors to refer qualifying clients
- Referral compensation paid at closing per the Channel Partner Agreement
- Training, marketing resources, and dedicated partner support
What our Services are NOT
For the avoidance of doubt, our Services do not include:
- Legal advice — we do not provide legal counsel on your transaction
- Tax advice — we do not provide tax advice; you should consult a qualified tax advisor
- Investment advice — we do not provide personalized investment advice or investment management
- Insurance recommendations — we do not advise on purchasing or maintaining life insurance
- Medicaid or benefits planning — we do not advise on government benefits eligibility
Our Role: Consulting and Brokerage
This Section is critical to understanding your relationship with HYV and the nature of transactions facilitated through our Services.
HYV is a consulting and brokerage firm
High Yield Vault operates as a life settlement consulting and brokerage firm. Our role is to:
- Evaluate life insurance policies against qualifying criteria
- Educate sellers and investors about the life settlement market
- Broker the match between policy sellers and qualified investors
- Guide both parties through documentation and closing
HYV does not purchase policies
HYV does not purchase life insurance policies for our own account. All policy purchases are executed directly between the policy seller and a qualified investor in our network. HYV does not:
- Acquire ownership of policies
- Pay premiums on policies
- Collect death benefits
- Hold capital for the acquisition of policies
Qualified investors are independent parties
Qualified investors in our network are independent parties, not employees, agents, or affiliates of HYV. Each investor conducts independent due diligence, makes independent acquisition decisions, and is responsible for fulfilling their obligations in any transaction they enter. HYV is not liable for the acts, omissions, or financial condition of investors.
Operational partners
HYV works with operational partners, including Settlement Group, that provide post-acquisition policy administration and servicing. These operational partners are independent parties, not controlled by HYV. HYV is not liable for the acts or omissions of operational partners.
No fiduciary duty
Unless expressly stated in a separate written agreement signed by HYV, the relationship between you and HYV is not a fiduciary relationship. HYV does not act as your fiduciary, broker-dealer, registered investment adviser, insurance agent, or legal or tax advisor.
Account Responsibilities
If you create an account or access a secure portion of our Services, you agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of any login credentials
- Promptly notify HYV of any unauthorized use of your account
- Be responsible for all activities that occur under your account
- Update your information as necessary to keep it accurate
HYV reserves the right to suspend, restrict, or terminate your account if we reasonably believe you have violated these Terms or applicable law.
Acceptable Use & Prohibited Conduct
You agree not to engage in any of the following prohibited activities when using our Services:
- Provide false, misleading, or fraudulent information
- Misrepresent your identity or affiliation with any person or entity
- Violate any federal, state, local, or international law or regulation
- Infringe on the intellectual property rights, privacy, or other rights of any third party
- Transmit any viruses, malware, or other harmful code
- Interfere with, disrupt, or attempt to gain unauthorized access to our Services or systems
- Use automated systems (bots, scrapers, spiders) to access the Website without our prior written consent
- Copy, modify, distribute, sell, or lease any part of our Services or content
- Reverse engineer or attempt to extract the source code of our systems
- Use our Services for any unlawful purpose, including but not limited to money laundering, fraud, or securities violations
- Impersonate any HYV employee, agent, or other user
- Use our Services to harass, threaten, or harm any person
- Attempt to circumvent any security measures or access controls
- Collect or harvest information about other users of the Services
- Engage in any conduct that could damage, disable, overburden, or impair our Services
Violations of this Section may result in immediate termination of your access, legal action, and referral to law enforcement.
Intellectual Property Rights
Our intellectual property
The Website, Services, and all content therein — including text, graphics, logos, designs, images, audio, video, software, and the compilation thereof — are owned by HYV or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. All rights not expressly granted to you are reserved.
Limited license to use
Subject to your compliance with these Terms, HYV grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services for their intended purpose. This license does not include any right to:
- Resell or commercially use the Services or content
- Collect and use product listings, descriptions, or images
- Derive information from the Services for competitive purposes
- Use data mining, robots, or similar data extraction tools
Trademarks
"High Yield Vault," the HYV logo, and related marks are trademarks or service marks of High Yield Vault, LLC. Other product and company names mentioned on the Website may be trademarks of their respective owners.
DMCA policy
If you believe that material on our Website infringes your copyright, please send a notice that complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) to the contact information in Section 18. Include:
- A description of the copyrighted work claimed to be infringed
- A description of the infringing material and its location on the Website
- Your contact information
- A statement of good-faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner

User Content & Communications
Content you provide
When you submit information, documents, or other content to us ("User Content"), you represent and warrant that:
- You own the User Content or have all necessary rights, licenses, and permissions to submit it
- The User Content does not infringe on any third party's rights
- The User Content is accurate and complete to the best of your knowledge
- Submission of the User Content does not violate any applicable law or agreement
License to use User Content
By submitting User Content, you grant HYV a non-exclusive, royalty-free, worldwide license to use, store, reproduce, modify, and display the User Content solely for the purpose of providing the Services, complying with legal obligations, and improving our operations.
Communications from HYV
You agree that HYV may communicate with you electronically, including by email, SMS, or phone. Communications may include:
- Transactional communications (responses to inquiries, status updates, closing coordination)
- Administrative communications (changes to these Terms, service updates)
- Marketing communications (only if you have opted in; you may unsubscribe at any time)
By providing a phone number, you consent to receive phone calls and, where applicable, SMS messages related to our Services, in accordance with the Telephone Consumer Protection Act (TCPA). Standard messaging and data rates may apply. Reply STOP to opt out of SMS at any time.
Call recording
Some calls with HYV may be recorded for quality assurance and training purposes, consistent with applicable law (California is a two-party consent state under Cal. Penal Code § 632, so we will inform you if the call is being recorded). You may request that a call not be recorded.
Third-Party Services & Links
The Website may contain links to third-party websites, services, or resources, including links to our operational partners (e.g., Settlement Group at settlementgroup.io). These links are provided for convenience only. HYV does not:
- Control or endorse the content of third-party websites or services
- Warrant the accuracy, reliability, or safety of third-party websites
- Assume responsibility for any loss or damage arising from your use of third-party websites or services
Your access to and use of any third-party website or service is at your own risk and subject to the terms and conditions of that third party.
Electronic Communications & Signatures
Under the Electronic Signatures in Global and National Commerce Act (ESIGN Act), 15 U.S.C. § 7001 et seq., and the Uniform Electronic Transactions Act (UETA) as adopted in California (Cal. Civ. Code §§ 1633.1-1633.17):
- You consent to transacting business with HYV electronically
- You consent to receiving disclosures, notices, and other communications electronically
- Your electronic signature, including clicking "I agree" or submitting a form, has the same legal effect as a handwritten signature
- Electronic records we maintain constitute original records for all purposes
Right to paper copies
You have the right to request a paper copy of any electronic record we provide. To request a paper copy, contact us using the information in Section 18. A reasonable fee may apply for postage.
Withdrawal of consent
You may withdraw your consent to receive electronic communications at any time by contacting us. However, withdrawal may result in the termination of your access to the Services, as some Services can only be provided electronically.
System requirements
To access electronic communications, you must have: a computer or mobile device with internet access, a modern web browser, an active email account, and the ability to receive and read PDF documents.
Disclaimers & No Advice
The Services and all content are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
HYV makes no warranty that: (a) the Services will meet your requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) any information obtained through the Services will be accurate or reliable; or (d) any defects or errors will be corrected.
No professional advice
The information provided through our Services is for general educational and informational purposes only. It does not constitute:
- Legal advice — consult a licensed attorney
- Tax advice — consult a qualified tax professional
- Investment advice — consult a registered investment adviser
- Insurance advice — consult a licensed insurance agent
- Medicaid or benefits planning advice — consult an elder law attorney
You should not rely solely on information from our Services when making significant financial, legal, or healthcare decisions. Always seek the advice of qualified professionals who can review your individual circumstances.
No guarantees regarding transactions
HYV does not guarantee that any transaction will close, that any policy will receive an offer, or that any offer will be at a particular price. Life settlement transactions are subject to qualifying criteria, market conditions, investor appetite, underwriting, regulatory requirements, and other factors outside of HYV's control.
No endorsement of investors or operational partners
HYV's identification of qualified investors or operational partners in connection with our Services does not constitute an endorsement, recommendation, or guarantee of their financial condition, compliance, or performance. Each party is independently responsible for its obligations.
Past performance
Any historical performance information presented on the Website or in our communications is illustrative only and is not a guarantee of future results. Life settlement investments involve substantial risk, including the potential loss of principal.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIGH YIELD VAULT, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HYV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate liability cap
IN NO EVENT SHALL HYV'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF:
- $100 (one hundred U.S. dollars), or
- The total fees, if any, paid by you to HYV in the twelve (12) months preceding the event giving rise to the claim.
California-specific exceptions
Nothing in these Terms limits liability for:
- Gross negligence, willful misconduct, or fraud (under California Civil Code § 1668)
- Violation of statutory rights that cannot be waived under California law
- Personal injury caused by HYV's negligence
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above exclusions or limitations may not apply to you in their entirety.
Indemnification
You agree to indemnify, defend, and hold harmless High Yield Vault, its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including privacy or intellectual property rights
- Your violation of any applicable law or regulation
- Any User Content you submit to us
- Any dispute between you and another user or third party related to or arising from the Services
HYV reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our defense.
Binding Arbitration & Class Action Waiver
Please read this Section carefully
This Section affects your legal rights. It requires disputes to be resolved through binding individual arbitration instead of court proceedings and prohibits class actions. You have a 30-day right to opt out of this arbitration provision, as described below.
14.1 Agreement to arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect (the "AAA Rules"). This arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16.
14.2 Class action waiver
YOU AND HYV AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You and HYV waive the right to: (a) have a Dispute heard as a class or collective action, (b) join your Dispute with claims of other persons, or (c) act as a representative or class member in any class or representative proceeding.
If any court or arbitrator determines that this class action waiver is unenforceable with respect to a particular claim, that claim (and only that claim) shall proceed in court rather than arbitration.
14.3 30-day right to opt out
You may opt out of the arbitration provision in this Section by providing written notice within 30 days of the date you first accept these Terms. To opt out, send written notice to:

Your notice must include your name, email address, postal address, and an unambiguous statement that you do not wish to resolve disputes through arbitration. If you opt out, Sections 14.1 and 14.2 of these Terms will not apply to you, but the remainder of these Terms will continue to apply.
14.4 Informal resolution
Before initiating arbitration, you and HYV agree to attempt to resolve the Dispute informally. You must first send a written notice to HYV describing the Dispute in reasonable detail. We will attempt to resolve the Dispute in good faith within 60 days of receiving your notice.
14.5 Arbitration procedure
- Location: The arbitration shall be conducted in Orange County, California, unless you and HYV agree otherwise. At your election, proceedings may be conducted telephonically, by video conference, or by written submission (for claims under $25,000).
- Arbitrator: A single arbitrator experienced in relevant areas shall conduct the arbitration.
- Arbitrator's authority: The arbitrator has exclusive authority to resolve any Dispute, including the interpretation, enforceability, or scope of this arbitration provision. The arbitrator's decision is final and binding.
- Small claims exception: Either party may bring qualifying individual claims in small claims court instead of arbitration.
- Injunctive relief exception: Either party may seek equitable relief in court to preserve the status quo or protect intellectual property pending arbitration.
14.6 Costs of arbitration
The AAA Rules govern payment of filing fees and arbitrator fees. For claims under $10,000, HYV will pay all arbitration fees unless the arbitrator determines the claim is frivolous. For larger claims, arbitration fees are governed by the AAA Rules, but HYV will not seek to recover its attorneys' fees from you unless the arbitrator determines your claim was frivolous.
14.7 Severability of arbitration provision
If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall remain in full force, except that the class action waiver is non-severable — if the class action waiver is found unenforceable with respect to a particular claim, that claim shall proceed in court.
Governing Law & Venue
Governing law
These Terms, and any Dispute arising out of or relating to these Terms or the Services, shall be governed by the laws of the State of California, without regard to its conflict-of-law principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision in Section 14.
Venue
Subject to the arbitration provision in Section 14, you and HYV agree that any Disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
Waiver of jury trial
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND HYV KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A JURY TRIAL in any action arising out of or relating to these Terms.
General Provisions
Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any additional terms or agreements applicable to specific Services (including the Channel Partner Agreement for advisor partners), constitute the entire agreement between you and HYV regarding your use of the Services, superseding all prior or contemporaneous agreements.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
No waiver
HYV's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HYV.
Assignment
You may not assign or transfer these Terms or your rights hereunder without HYV's prior written consent. HYV may assign these Terms at any time without notice.
Force majeure
HYV shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet/telecommunications failures.
Relationship of the parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and HYV. Neither party has the authority to bind the other to any obligation.
Notices
Notices to HYV must be sent to the contact information in Section 18. HYV may provide notices to you by email, postal mail, or posting on the Website. Notices are deemed effective when sent.
Survival
Provisions that by their nature should survive termination shall survive, including: intellectual property rights, disclaimers, limitation of liability, indemnification, arbitration, governing law, and these general provisions.
Changes to These Terms
HYV reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Provide notice on the Website (typically a banner) for at least 30 days prior to the effective date of material changes
- Where feasible, notify registered users or clients by email
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue use of the Services.
Changes to the arbitration provision in Section 14 will not apply to disputes of which HYV was aware before the change became effective.
